# Webcast Terms of Service

**Effective Date:** March 12, 2026

These Terms of Service ("Agreement") govern your access to and use of the Webcast video conferencing platform, software, and services ("Services") provided by {{LEGAL_ENTITY}} ("Webcast," "we," "us," or "our") at [webcast.chat](https://webcast.chat).

By accessing or using the Services, you agree to be legally bound by all terms and conditions of this Agreement. If you do not agree to these terms, you may not access or use the Services.

**READ THIS AGREEMENT CAREFULLY.** It includes important provisions regarding: (i) in Section 10, arbitration of certain claims and a class action waiver; (ii) in Section 6, terms applicable to subscription charges and automatic renewals; (iii) in Section 13, limitations on Webcast's liability; and (iv) in Section 4, prohibited uses of the Services.

## 1. Account Information and Security

### 1.1 Registration

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. Webcast may reject any registration at its sole discretion.

### 1.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your email address and password. You agree to notify Webcast immediately of any unauthorized use of your account or any other security breach at security@webcast.chat. Webcast is not liable for any loss or damage arising from your failure to protect your account credentials.

### 1.3 Prohibition on Sharing

You may not share your account credentials, Host rights, or subscription benefits with any other individual. Each account is personal to the registered user and is not assignable or transferable, except upon Webcast's prior express written approval.

## 2. Access and Use of Services

### 2.1 License Grant

Subject to your compliance with this Agreement and payment of applicable fees, Webcast grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes during the term of your subscription.

### 2.2 Software License

The Webcast platform is provided as a web-based application. No software download is required for standard use. Any client-side code provided by Webcast is licensed to you solely for use in connection with the Services and may not be copied, modified, distributed, or reverse-engineered.

### 2.3 Ownership

Webcast and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights. Nothing in this Agreement transfers any ownership rights to you.

## 3. Responsibility for Use and End Users

### 3.1 End User Responsibility

If you are a Customer who provides access to the Services to End Users (including employees, contractors, or guests), you are responsible for ensuring that all End Users comply with this Agreement. You are liable for any violations of this Agreement by your End Users.

### 3.2 Customer Content

You are solely responsible for all content, data, and information that you or your End Users transmit or share through the Services ("Customer Content"), including audio, video, chat messages, files, and poll responses. Webcast does not review Customer Content and is not responsible for its accuracy, legality, or appropriateness.

### 3.3 Recording and AI Consent

When utilizing the recording or AI transcription features, you are responsible for providing sufficient notice to Participants and obtaining any necessary consents as required by applicable law. Webcast provides visual indicators when these features are active, but the legal responsibility for compliance rests with the Host.

## 4. Prohibited Uses

You agree not to use the Services to:

- Violate any applicable law, regulation, or third-party rights.
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, profane, or otherwise obscene.
- Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
- Interfere with or disrupt the integrity, performance, or availability of the Services or related systems.
- Attempt to gain unauthorized access to the Services, other accounts, or computer systems.
- Use the Services for any high-risk activities where failure could lead to death, personal injury, or significant property damage.
- Use automated tools, bots, or scrapers to access or extract data from the Services without Webcast's express written permission.
- Transmit spam, unsolicited commercial communications, or any form of malware.

## 5. System Requirements and Changes

Webcast may modify, update, or discontinue any feature or functionality of the Services at any time, with or without notice. Webcast will use reasonable efforts to provide advance notice of material changes. Your continued use of the Services after any changes constitutes your acceptance of those changes.

## 6. Payments and Subscriptions

### 6.1 Subscription Fees

Certain features of the Services are offered on a subscription basis. You agree to pay all applicable fees associated with your chosen subscription plan. All fees are stated in U.S. dollars unless otherwise specified. Payments are processed securely through our payment provider, Stripe.

### 6.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annual) at the then-current subscription rate, unless you cancel your subscription prior to the renewal date. You can manage your subscription in your account dashboard or by contacting info@webcast.chat.

### 6.3 Refunds

All fees are non-refundable unless otherwise required by applicable law or explicitly stated in our refund policy. Webcast may, at its discretion, offer credits or refunds in exceptional circumstances.

### 6.4 Promotional Rates and Discounts

Promotional rates and discounts are subject to specific terms and conditions and may be modified or discontinued at any time.

### 6.5 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your use of the Services.

## 7. Recordings

When you record a meeting using Webcast's recording feature, you acknowledge and agree that: (a) you are responsible for complying with all applicable laws regarding the recording of communications; (b) you will obtain all necessary consents from participants prior to recording; (c) you will store and use recordings in compliance with applicable privacy laws; and (d) Webcast is not responsible for any legal claims arising from your use of the recording feature.

## 8. Term, Termination, and Suspension

### 8.1 Term

This Agreement commences on the date you first access or use the Services and continues until terminated.

### 8.2 Termination by You

You may terminate your account at any time by contacting info@webcast.chat or through your account settings. Termination does not entitle you to a refund of any prepaid fees.

### 8.3 Termination or Suspension by Webcast

Webcast reserves the right to suspend or terminate your access to the Services at any time, with or without cause, including for any violation of this Agreement, non-payment of fees, or if Webcast determines that your use of the Services poses a risk to Webcast, other users, or third parties.

### 8.4 Effect of Termination

Upon termination, your license to use the Services immediately ceases. Webcast will retain your data for a reasonable period following termination to allow you to export it, after which it will be deleted in accordance with our data retention policy.

## 9. Modifications to This Agreement

Webcast may modify this Agreement at any time by posting the updated terms on our website. We will provide notice of material changes via email or a prominent notice on the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Agreement.

## 10. Dispute Resolution and Arbitration

### 10.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact Webcast at legal@webcast.chat and attempt to resolve the dispute informally for at least 30 days.

### 10.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to this Agreement or the Services shall be resolved by binding arbitration, rather than in court, except as provided in Section 10.3.

### 10.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

### 10.4 Exceptions

Nothing in this Section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

## 11. Webcast Proprietary Rights

Webcast and its licensors retain all right, title, and interest in and to the Services, including all software, algorithms, user interfaces, trade secrets, patents, copyrights, trademarks, and other intellectual property. The Webcast name, logo, and related marks are trademarks of {{LEGAL_ENTITY}}

## 12. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose such information to any third party without the other party's prior written consent, except as required by law.

## 13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBCAST AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUES, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WEBCAST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WEBCAST'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO WEBCAST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

## 14. No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WEBCAST DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

## 15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of {{JURISDICTION}}, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in {{JURISDICTION}}.

## 16. Miscellaneous

### 16.1 Entire Agreement

This Agreement, together with the Webcast Privacy Statement, Services Description, and Global DPA (if applicable), constitutes the entire agreement between you and Webcast with respect to the Services.

### 16.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

### 16.3 Waiver

Webcast's failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

### 16.4 Assignment

You may not assign or transfer this Agreement or any rights hereunder without Webcast's prior written consent. Webcast may assign this Agreement without restriction.
